Terms and Conditions

1. General

    1. These terms and conditions apply to any and all work done by me (Adam Stone, Editor and Proofreader) for you (the client).
    2. I will provide editing/proofreading services agreed upon in writing between the client and myself.
      There is no obligation on the client to offer me work, as there is no obligation for me to accept work offered by the client.
    3. All work carried out by me will be unsupervised and in accordance with my own schedule, equipment, location and other preferences.
    4. I will not subcontract any work to other parties, but carry out all work myself.
    5. As a self-employed worker I am responsible for managing my own income tax and national insurance contributions.
    6. I will not attempt to claim benefits available to the client’s employees.
    7. I am not registered for VAT.
    8. The service agreement between myself and the client requires a written acknowledgement that the client has read through and agreed to these terms and conditions.

2. Project Terms

    1. Before any editing/proofreading work begins, the client and I will agree on the following terms in writing:
      • The medium of the project (Word, paper, PDF, etc.)
      • The desired annotation style (Track Changes, BSI correction, etc.)
      • The expected time the project will take, as advised by myself
      • The agreed upon fee for the project, provided by me and based on the quotation given following an evaluation of the material to be edited/proofread
      • Additional expenses to be incurred by the client including postage
      • The expected date I am to receive the material to be edited/proofread
      • The latest possible date the client can expect to receive completed work, provided by myself
    2. If it becomes clear upon receipt of the material that it will take substantially more work than established during initial communication, I may renegotiate the initial fee, deadline, or decline to continue the work.

3. Fees and Quotations

    1. I will provide a quotation for the entire project to the client following an evaluation of the representative sample of the materials requiring editing/proofreading as well as discussion with the client.
    2. Once a fee is agreed upon by both parties, it is non-negotiable except in cases of the client increasing the word count or requesting additional services. In such cases a modified quotation and deadline will be negotiated.
    3. The client will pay for services per 1,000 words, or per hour, or as a flat fee for the entire project as agreed upon in writing by both parties.
    4. The client will receive an invoice from me immediately upon completion of the project unless otherwise agreed.
    5. Payments for booking fees should be received within three days. Payments for full edits/proofreads should be received within fourteen days.
    6. All quoted fees will be for a single pass of provided material unless otherwise agreed. Additional passes will be treated as separate projects which will require new sets of agreed terms.

4. Booking form and fees

    1. Once the client has completed the booking fee at the bottom of this page, I will immediately issue the booking fee invoice.
    2. Booking fees are non-refundable.
    3. The booking fee will be deducted from the final invoice upon completion of the project.
    4. For projects with fees totalling an excess of £300, the client will pay a £300 booking fee.
    5. For projects with fees totalling £300 or less, the project must be paid for in full up front. This payment is non-refundable.
    6. By completing the booking confirmation form, the client agrees to secure my services for a specific project at a specific time only.
    7. By completing the booking confirmation form, the client confirms that they have read through and agreed to the terms and conditions. From that point on, terms of the cancellation policy will apply (see below).
    8. A booking is not considered as confirmed until I have received the agreed upon booking fee in full.
    9. Booking fees should be paid within three days of receiving the booking fee invoice. The agreed project schedule if the booking fee is not received within this timeframe.

5. Cancellation Policy

    1. The client and I both have the right to terminate the service agreement if there has been a serious breach of terms at any time.
    2. The client can cancel a service for any reason at any time by providing me with written notice. The cancellation is valid once the client receives a written confirmation of cancellation from me.
    3. Although unlikely, I can cancel a service for any reason at any time by providing the client with written notice. In the event of cancellation on my part I will provide the client with a prorated refund of any overages of fees paid including the booking fee.
    4. The terms of the cancellation policy are open to discussion in cases of extraordinary or difficult circumstances on the client’s part. In such circumstances, the client should contact me directly.
    5. In cases of extraordinary or difficult circumstances on my part that will affect my ability to undertake or continue a project, I will inform the client at the earliest possible opportunity and endeavour to reschedule or renegotiate the project time frame. The booking fee will be refunded in such circumstances.
    6. If the client cancels once work on the project has begun (i.e. the booking fee has been paid), I reserve the right to invoice for 100% of the agreed fee less the booking fee.
    7. If the client cancels less than one month prior to beginning work on the project, I reserve the right to invoice for 100% of the agreed fee less the booking fee.
    8. If the client cancels more than one month prior to beginning work on the project, the booking fee will not be refunded but no other charges will be invoiced for.
    9. A reminder will be sent to the client two weeks prior to the agreed start date that the project manuscript is due no less than 24 hours prior to the start date.
    10. Should the client fail to confirm in writing within one week prior to the start date, the project will be treated as cancelled and the above cancellation terms will apply. The designated slot in my schedule will be released for other work.
    11. If the client confirms the project they agree to provide me with the manuscript at least 24 hours prior to the start date.

6. Confidentiality

    1. All project content and the fact of the undertaking of the project will also be kept confidential for the duration of the project unless written permission is given by the client.
    2. None of the client’s content or the fact of the undertaking of the project will be shared with third parties unless written permission is given by the client.
    3. I will often seek to share testimonials and include completed projects in my professional portfolio. In such cases I will seek written permission from the author (including email) before proceeding.
    4. In accordance with the Data Protection Act of 1998, the client and I may keep necessary information on record. The client may request to view my records and I may request to view the client’s records to ensure that they are relevant and correct.

7. Copyright

    1. All content the client delivers to me is the client’s legal property.
    2. In light of this, I will be exempt from any claims, liabilities and expenses resulting from copyright or trademark infringement.
    3. Following payment of the final invoice, the client assumes full property rights over any content created by me during the editing or proofreading process.

8. Quality assurance

I will always endeavour to work to the highest standards, but often the quality of a single edit or proofread is determined largely by which other processes it has undergone. 9. Legal Jurisdiction

    1. This service agreement is governed by the legal framework of England and Wales. Both myself and the client I consent to submit to the jurisdiction of the courts of England and Wales.
    2. The exclusive venue for any arbitration or legal action related to or originating from this service agreement will be Dorset, England.

10. Privacy policy and the GDPR

11. Acknowledgements in published works

    1. The Client is not obliged to include my name in the acknowledgments section of their published work. Nonetheless, the Client acknowledges that I will have the chance to examine any such mention before it goes public, or to opt not to be included.
